MAINTENANCE TERMS – KORAGENCE

These Maintenance Terms (“Terms”) define how Koragence provides technical, corrective, and evolutionary maintenance for websites, web apps, or digital solutions developed or maintained by Koragence.
They supplement Koragence’s General Terms of Sale and are deemed accepted upon signature of a maintenance quote.
1. Purpose
These Terms define:
- the scope of maintenance services,
- the respective obligations of the parties,
- execution, billing, and termination terms,
- Koragence’s liability limitations.
2. Scope
These Terms apply to any maintenance service subscribed by the Client, regardless of technology (showcase site, web app, SaaS, back-office, API, etc.).
They apply only to services expressly included in the subscribed maintenance offer.
3. Maintenance services
3.1 Corrective maintenance
- Fixing existing bugs or malfunctions affecting the scope delivered by Koragence.
- Fixes limited to code, configuration, or infrastructure managed by Koragence.
3.2 Technical maintenance
- Updating dependencies, frameworks, or libraries when required for security or stability.
- Basic uptime monitoring (excluding third‑party hosting).
- Reasonable preventive actions.
3.3 Light evolutionary maintenance (if specified in the quote)
- Minor adjustments that do not change the structure or logic of the application.
- Minor UI fixes.
Any substantial evolution requires a separate quote.
4. Excluded services
Unless stated otherwise in the quote, the following are excluded:
- Building new features
- Full redesign (UX/UI or functional)
- Architecture changes
- Migration to a new technology
- Work related to:
- misuse by the Client,
- code changes by a third party,
- a third‑party tool or service (host, API, CMS, plugin, external provider)
- End‑user support
- Training
- Backups or restores not included in the quote
- Incidents arising from force majeure
Koragence may propose an additional quote for out‑of‑scope work.
5. Intervention terms
5.1 Access
The Client must provide all required access (hosting, DNS, tools, APIs, technical accounts).
Koragence cannot be held liable for delays or impossibility to act if access is incomplete or incorrect.
5.2 Response times
Times are indicative and depend on criticality:
- Blocking incident: priority handling
- Non‑blocking incident: handled within a reasonable timeframe
No guaranteed time to restore is granted unless an SLA is expressly agreed.
6. Client obligations
- Do not modify code or infrastructure without Koragence’s approval
- Inform Koragence of any third‑party intervention
- Use deliverables as intended
- Keep payments up to date
7. Liability
7.1 Limitation of liability
Koragence’s liability is strictly limited to:
- amounts actually received by Koragence for maintenance over the last 12 months,
- direct damages only.
Excluded:
- loss of business
- loss of data
- commercial loss
- indirect or non‑material damages
7.2 Security
Koragence applies reasonable security measures but cannot guarantee absolute security, notably against external attacks, zero‑day vulnerabilities, or third‑party failures.
8. Data & confidentiality
Koragence commits to confidentiality and to accessing Client data only for maintenance purposes.
The Client remains solely responsible for processed data and regulatory compliance (GDPR, etc.).
9. Term & termination
9.1 Term
Maintenance is subscribed for the term stated in the quote (monthly, yearly, initial commitment).
9.2 Termination
Unless stated otherwise:
- Termination possible with one month’s notice
- Any started period remains due
9.3 Suspension
Koragence may suspend maintenance:
- in case of non‑payment,
- in case of material breach of these Terms.
10. Reversibility
At the end of maintenance, Koragence has no obligation to transfer or assist further unless contractually agreed.
11. Governing law & jurisdiction
These Terms are governed by French law.
Any dispute falls under the exclusive jurisdiction of the courts where Koragence is registered, unless mandatory law provides otherwise.
12. Acceptance
Signing a maintenance quote constitutes full acceptance of these Terms.
